Tata Motors Acquires 89.42% of IVECO Group: A New Era Begins in Europe's Heavy Commercial Vehicle Industry

Indian commercial vehicle manufacturer Tata Motors has acquired an 89.42% stake in IVECO Group, gaining control of one of Europe's long-established commercial vehicle manufacturers. Following the completion of the initial share transfer and settlement on October 30, 2026, IVECO Group became an indirect subsidiary of Tata Motors. The acquisition brings together the two manufacturers' operations across different geographical markets and their commercial vehicle technologies under one corporate structure.

According to the joint announcement issued by Tata Motors and IVECO Group on October 30, 2026, TML CV Holdings B.V., an indirect subsidiary of Tata Motors, acquired 238,157,212 ordinary shares of IVECO Group.

These shares represent approximately 89.42% of IVECO Group's ordinary share capital, excluding treasury shares held by the company.

The cash offer price was set at €14.40 per share, bringing the total consideration for the shares acquired in the initial phase to approximately €3.43 billion.

As a result of the transaction, IVECO Group became an indirect subsidiary of Tata Motors.

Acquisition Process Continues for Remaining Shares

Although the initial phase of the acquisition has been completed, the process involving the remaining shares is still ongoing.

According to the companies' announcement, an additional acceptance period has been opened from November 2 to November 6, 2026.

Settlement and payment for shares tendered during this period are scheduled for November 13, 2026.

Tata Motors has therefore secured majority control in the initial phase while continuing the process of acquiring the remaining shares.

IVECO Group Announces New Board Structure

Following the acquisition, changes were also made to IVECO Group's Board of Directors.

N. Chandrasekaran, Chairman of Tata Sons, was appointed Chairman and Senior Non-Executive Director of IVECO Group.

IVECO Group CEO Olof Persson retained his position.

P. B. Balaji and Girish Wagh, senior executives at Tata Motors, also joined the new Board of Directors.

Guenter Butschek and Charles Nichols were appointed as independent directors.

Tata Motors and IVECO Bring Commercial Vehicle Operations Under One Group

The acquisition brings together two manufacturers with strong positions in different commercial vehicle markets.

Tata Motors operates primarily in India and emerging markets, while IVECO Group is active in Europe and other international markets, covering light, medium and heavy commercial vehicles, buses and powertrain systems.

IVECO's heavy-duty truck portfolio includes models such as the S-Way and X-Way, while the FPT brand specializes in engine and powertrain technologies.

The complementary geographical footprints and product portfolios of the two companies are among the strategic reasons behind the acquisition.

A New Competitive Landscape in Europe's Heavy Commercial Vehicle Market

IVECO's integration into Tata Motors represents a significant change in ownership within Europe's heavy commercial vehicle industry.

Through the acquisition, Tata Motors gains a broader international presence, supported by IVECO's European commercial vehicle operations and engineering expertise.

For IVECO, the new ownership structure marks the beginning of a new chapter in its global commercial vehicle operations.

However, a detailed roadmap outlining how the two companies will integrate their manufacturing operations, product development, brand management and sales organizations has not yet been announced.

What Does the Acquisition Mean for the Turkish Market?

As IVECO is also active in Türkiye's heavy commercial vehicle market, the ownership change represents an important development for the country's transport and commercial vehicle industries.

Future developments in product strategy, aftersales services, dealer networks and next-generation powertrain technologies will be particularly significant.

However, the companies' joint announcement on October 30 did not include any Türkiye-specific investment, manufacturing decision, distributorship change or new product launch.

Therefore, the concrete implications of the acquisition for IVECO's Turkish operations will become clearer through future announcements by the companies.

IVECO Group to Announce Third-Quarter Results on November 3

Following the acquisition, IVECO Group also revised its financial reporting calendar.

The company announced that its third-quarter 2026 financial results, previously scheduled for publication on November 5, would instead be released on November 3, 2026.

These results will provide updated financial information covering the period in which the company transitioned to its new ownership structure.

With Tata Motors securing majority control of IVECO Group, a new era of ownership has begun in Europe's heavy commercial vehicle industry.

Looking ahead, the key factor will be how the two manufacturers shape their product development strategies, technology investments and international operations.
